1. Acceptance of Terms

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GERYA, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (C) ANY CONTENT OBTAINED FROM THE PLATFORM; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY OTHER MATTER RELATING TO THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. GERYA DOES NOT WARRANT THAT: (A) THE PLATFORM WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE PLATFORM IS SOLELY AT YOUR OWN RISK.

10. Account Closure and Termination

You may request closure of your gerya account at any time by contacting customer support. Upon account closure, you must withdraw any remaining account balance in accordance with standard withdrawal procedures. gerya reserves the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to: (a) breach of these Terms or any applicable policies; (b) engagement in fraudulent, illegal, or prohibited activities; (c) failure to complete identity verification within required timeframes; (d) suspected money laundering or terrorism financing activities; (e) provision of false, misleading, or incomplete information; (f) abuse of bonuses or promotional offers; (g) prolonged account inactivity; or (h) upon our determination that your continued use of the Platform poses risks to gerya or other users.

Upon termination, your right to access and use the Platform immediately ceases. gerya reserves the right to retain account information as required by applicable laws and regulations. Any funds in your account at the time of termination will be handled in accordance with the reason for termination - for legitimate closures, funds will be returned to you; for closures due to Terms violations or fraudulent conduct, funds may be forfeited and used to offset damages incurred by gerya.

11. Dispute Resolution and Governing Law

These Terms and any disputes arising from or relating to your use of the gerya Platform shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms or the Platform shall be brought exclusively in the courts of the Philippines, and you hereby consent to the personal jurisdiction and venue of such courts.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform, you agree to first attempt to resolve the dispute informally by contacting gerya customer support. If the dispute cannot be resolved through informal negotiation within thirty (30) days, either party may initiate formal legal proceedings. You agree to waive any right to participate in class action lawsuits or class-wide arbitration proceedings against gerya.

12. Miscellaneous Provisions

These Terms constitute the entire agreement between you and gerya regarding your use of the Platform and supersede all prior agreements, understandings, and communications, whether oral or written. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. gerya's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

You may not assign, transfer, or delegate your rights or obligations under these Terms without gerya's prior written consent. gerya may assign or transfer its rights and obligations under these Terms at any time without notice or consent. Notices to you may be provided via email, Platform notifications, or other reasonable means. It is your responsibility to maintain current contact information and regularly check communications from gerya. These Terms shall remain in effect as long as you continue to use the Platform or maintain an account with gerya.
